Job Description

ADNOC is seeking a highly skilled and experienced Legal Counsel to join our dynamic legal team in Madinat Zayed, Abu Dhabi. In this pivotal role, you will provide comprehensive legal advice and support across a diverse range of business units and functions, with a particular focus on operations within the Al Dhafra region. You will be instrumental in ensuring ADNOC’s activities comply with all applicable local and international laws and regulations, mitigating legal risks, and safeguarding the company’s interests. The successful candidate will navigate complex legal landscapes, draft and negotiate critical agreements, and offer strategic counsel on corporate governance, commercial transactions, regulatory affairs, and dispute resolution. This role demands a proactive legal professional with exceptional analytical abilities, strong communication skills, and a deep understanding of the energy sector’s unique legal challenges. You will work closely with senior management and cross-functional teams, contributing to the strategic objectives and operational excellence of one of the world’s foremost energy companies. Key Responsibilities

  • Provide expert legal advice and support on a broad spectrum of corporate and commercial matters.
  • Draft, review, and negotiate various contracts and agreements, including joint ventures, procurement, sales, and service agreements.
  • Ensure compliance with all relevant local and international laws, regulations, and company policies, particularly those pertaining to the oil and gas industry and corporate governance.
  • Identify, assess, and mitigate legal risks across ADNOC’s operations.
  • Manage and advise on dispute resolution, litigation, and arbitration processes.
  • Support internal stakeholders on legal issues related to projects, human resources, finance, and operations.
  • Keep abreast of changes in legal frameworks and advise management on potential impacts.
  • Conduct legal research and provide accurate, timely, and practical legal opinions.
  • Assist in the development and implementation of internal legal policies and procedures.

Required Skills

  • Strong legal research and analytical skills.
  • Excellent drafting and negotiation abilities.
  • In-depth knowledge of commercial law, contract law, and corporate governance.
  • Proven ability to manage multiple priorities and work effectively under pressure.
  • Exceptional written and verbal communication skills in English.

Preferred Qualifications

  • Master of Laws (LL.M.) or equivalent advanced legal degree.

  • Familiarity with UAE local laws and regulations.
  • Proficiency in Arabic (written and spoken) is a significant advantage.
