Job Description

We are seeking an experienced, highly motivated, and strategically-minded Corporate Lawyer to join our dynamic and growing team in Palma de Mallorca. This is an exceptional opportunity for a talented professional with a robust background in corporate law to play a pivotal role in advising a prestigious and diverse client base, encompassing both national and international entities operating across various sectors. The successful candidate will be instrumental in navigating complex legal landscapes, delivering strategic legal counsel on high-stakes corporate transactions, including intricate mergers & acquisitions, comprehensive corporate restructurings, joint ventures, and private equity investments. Furthermore, you will be deeply involved in corporate governance matters, providing proactive advice on compliance and regulatory frameworks, and handling general commercial law issues that are critical to our clients’ operations.

This role demands more than just legal acumen; it requires a proactive approach to client management, a keen eye for detail in drafting sophisticated legal documentation, and the ability to negotiate effectively on behalf of our clients. You will work closely with senior partners, gaining exposure to complex, multi-jurisdictional projects, and will be expected to contribute actively to the firm’s thought leadership and business development initiatives. Key Responsibilities

  • Advise clients on a wide range of corporate law matters, including M&A transactions, corporate restructurings, joint ventures, and private equity investments.
  • Draft, review, and negotiate complex legal documents, such as share purchase agreements, shareholder agreements, articles of association, and various commercial contracts.
  • Conduct thorough legal due diligence for corporate transactions, identifying potential risks and devising effective mitigation strategies.
  • Provide expert counsel on corporate governance, compliance, and regulatory issues to ensure adherence to national and international standards.
  • Manage client relationships, ensuring timely, clear, and effective communication and service delivery tailored to client needs.
  • Represent clients in negotiations, corporate disputes, and other legal proceedings.
  • Stay abreast of changes in corporate law, commercial regulations, and industry trends, providing proactive advice to clients and internal teams.
  • Collaborate seamlessly with other practice areas within the firm to provide integrated and holistic legal solutions.
  • Participate in business development activities, including client seminars and legal publications.

Required Skills

  • Bachelor's Degree in Law (Licenciatura en Derecho or Grado en Derecho) from a reputable university.
  • Admitted to practice law in Spain (Colegiado en un Colegio de Abogados de España).
  • Minimum of 4 years of post-qualification experience as a Corporate Lawyer in a reputable law firm.
  • Strong knowledge of Spanish corporate law, commercial law, and M&A regulations.
  • Excellent drafting, negotiation, and communication skills in both Spanish (native or near-native) and English (fluent).
  • Proven ability to manage multiple complex projects and meet tight deadlines in a demanding, fast-paced environment.
  • Exceptional analytical, problem-solving, and critical thinking abilities.
  • Strong client management and interpersonal skills.

Preferred Qualifications

  • Master's Degree in Corporate Law, Business Law, or a related specialization.
  • Experience in cross-border transactions and familiarity with international legal frameworks.
  • Proficiency in additional European languages (e.g., German, French).
  • Experience with clients in the tourism, real estate, or maritime sectors, which are prominent in Mallorca.
  • Demonstrated leadership potential and experience mentoring junior colleagues or paralegals.
