Key Responsibilities
- Advise a diverse portfolio of clients on a broad spectrum of corporate law matters, including M&A transactions, private equity investments, joint ventures, and corporate restructurings.
- Draft, review, and negotiate complex legal documents such as share purchase agreements, asset purchase agreements, shareholders' agreements, merger agreements, and ancillary documentation.
- Conduct comprehensive legal due diligence, identify potential legal risks, and propose effective mitigation strategies.
- Provide strategic counsel on corporate governance issues, compliance with French and international corporate regulations, and capital market operations.
- Manage transaction timelines, coordinate seamlessly with other legal and financial advisors, and ensure the timely and efficient execution of deals.
- Stay abreast of the latest developments in corporate law, market trends, and regulatory changes, proactively sharing insights and knowledge with clients and colleagues.
- Actively participate in business development initiatives, networking events, and contribute to maintaining strong, long-term client relationships.
- Mentor junior lawyers and paralegals, contributing to their professional development and the firm's knowledge management efforts.
Required Skills
- Master's degree in Law (Master 2 Droit des Affaires, DJCE, or equivalent) from a reputable French or international university.
- Admitted to the French Bar (or an equivalent European bar with a strong understanding of French corporate law principles).
- Minimum of 5 years of post-qualification experience in corporate law, with a significant focus on M&A, gained within a leading international law firm or a prominent corporate legal department.
- Exceptional command of both French and English, verbally and in writing, is essential for our international clientele and complex transaction documentation.
- Profound understanding of French corporate law, contract law, and relevant regulatory frameworks.
- Strong analytical, problem-solving, and negotiation skills, with meticulous attention to detail.
- Ability to work effectively under pressure, manage multiple priorities concurrently, and consistently meet tight deadlines.
- Excellent communication and interpersonal skills, with the ability to build rapport and trust with clients and colleagues at all levels.
