Job Description

We are seeking a highly skilled and experienced Legal Counsel to join our dynamic legal team in Tokyo. This pivotal role will involve providing comprehensive legal support across SoftBank Group’s diverse business units, with a particular focus on corporate governance, regulatory compliance, and strategic transactions. The successful candidate will navigate complex legal landscapes, offering expert advice on matters ranging from M&A activities and joint ventures to commercial contracts and intellectual property. You will play a crucial role in safeguarding the company’s interests, ensuring adherence to global legal standards, and contributing to our strategic initiatives. This position offers a unique opportunity to work at the intersection of law and cutting-edge technology, engaging with high-profile projects that define the future of the industry. We are looking for a proactive, detail-oriented professional who can thrive in a fast-paced, international environment and provide pragmatic, business-oriented legal solutions.

Key Responsibilities

  • Provide legal advice and support on a broad range of corporate and commercial matters, including M&A, joint ventures, and strategic investments.
  • Draft, review, and negotiate various commercial agreements, including licensing agreements, service agreements, and partnership agreements.
  • Ensure compliance with Japanese and international laws and regulations, particularly in areas such as corporate governance, data privacy, and antitrust.
  • Manage and oversee litigation, dispute resolution, and regulatory inquiries.
  • Advise on intellectual property matters, including patent, trademark, and copyright issues.
  • Support corporate secretarial functions, including preparing board materials and ensuring compliance with company law.
  • Collaborate closely with internal business units, senior management, and external legal counsel.
  • Monitor changes in relevant laws and regulations and provide proactive advice on potential impacts to the business.

Required Skills

  • Juris Doctor (J.D.) or equivalent legal degree from an accredited university.
  • Admission to the bar in Japan or a major common law jurisdiction (e.g., New York, California, England & Wales).
  • Minimum of 5 years of post-qualification experience in corporate law, preferably gained within a leading law firm or in-house legal department of a multinational corporation.
  • Strong understanding of corporate governance, M&A, and general commercial law.
  • Excellent analytical, negotiation, and communication skills.
  • Native-level proficiency in Japanese and business-level fluency in English (both written and spoken).

Preferred Qualifications

  • Experience in the technology, telecommunications, or investment industries.
  • Familiarity with cross-border transactions and international legal frameworks.
  • Prior experience with regulatory compliance in diverse jurisdictions.
  • LL.M. or other advanced legal degree.
